1. Introduction

Welcome to GoodGrid. These Terms and Conditions govern your use of the GoodGrid platform and services operated by William Roberts Coaching and Advisory Ltd, a company incorporated in England (company number 15629688).

By accessing or using GoodGrid, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the service.

2. Definitions

"Company", "We", "Us", or "Our" refers to William Roberts Coaching and Advisory Ltd, the operator of GoodGrid.

"Platform" or "Service" means the GoodGrid website and related services.

"User", "You", or "Your" refers to individuals who access or use the GoodGrid platform.

"Campaign Creator" means a User who creates and manages a campaign on the Platform.

"Sponsor" means a User who purchases grid spaces on a campaign.

"Content" means text, images, videos, and other materials that Users upload, post, or transmit on the Platform.

3. Account Creation and Usage

3.1 User Eligibility

To use GoodGrid, you must be at least 18 years of age and capable of forming a binding contract. By creating an account, you warrant that you meet these requirements.

3.2 Account Registration

When registering, you must provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account, at our sole discretion, without notice, for conduct that we determine violates these Terms, is harmful to other Users, or is harmful to our business interests.

4. User Content and Conduct

4.1 Content Ownership

You retain all rights to Content you submit, post, or display on GoodGrid. By providing Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your Content for the purposes of operating and improving the Platform.

4.2 Prohibited Content

You may not post Content that:

  • Is illegal, harmful, threatening, abusive, harassing, defamatory, or invasive of another's privacy
  • Infringes any patent, trademark, copyright, or other intellectual property rights
  • Contains software viruses or harmful code
  • Constitutes unsolicited commercial communications ("spam")
  • Promotes illegal activities or substances
  • Contains political campaigning, gambling, or adult content

4.3 User Conduct

You agree not to:

  • Use the Platform in any manner that could interfere with or disrupt the Service
  • Attempt to gain unauthorized access to any part of the Platform
  • Use automated means to access or collect data from the Platform without our prior consent
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity

5. Campaigns and Sponsorships

5.1 Campaign Creation

Campaign Creators may create campaigns that comply with these Terms. By creating a campaign, you warrant that all information provided is truthful and accurate.

5.2 Campaign Management

Campaign Creators are responsible for managing their campaigns, including responding to inquiries from Sponsors and fulfilling any commitments made in the campaign description.

5.3 Sponsorships

Sponsors may purchase grid spaces on campaigns as a form of support. These transactions are not charitable donations and are considered voluntary sponsorships. Sponsors understand that their contributions do not entitle them to refunds or returns. All purchases are final and non-refundable unless otherwise required by law or explicitly stated by GoodGrid in writing.

5.4 Fees and Payments

GoodGrid charges fees for campaign publication and platform usage as outlined in our pricing page. We may change our fees at any time, with notice to users. All fees are exclusive of taxes which may be charged by relevant tax authorities.

5.5 Campaign Verification

We may, at our sole discretion, verify the identity of Campaign Creators through third-party services such as Stripe Connect. Verification does not imply endorsement or guarantee by GoodGrid.

5.6 Campaign Moderation and Removal

We reserve the right to remove, suspend, or reject any campaign that we believe violates these Terms, is misleading, fraudulent, or not aligned with our values or community standards. Campaigns may be reviewed manually or automatically.

5.7 No Guarantee of Outcome

GoodGrid does not guarantee the success, legitimacy, or fulfillment of any campaign. Sponsors are responsible for evaluating the credibility of each campaign before making a contribution. We are not liable for unfulfilled promises, failure to deliver outcomes, or any misrepresentations made by Campaign Creators. It is your responsibility to evaluate the risk of supporting a campaign.

6. Third-Party Services

6.1 Stripe Integration

GoodGrid uses Stripe to process payments and manage payouts via Stripe Connect. Campaign Creators are required to create a Stripe account and comply with all applicable Stripe policies. We do not store payment card information and are not responsible for delays, holds, or disputes related to Stripe's payment infrastructure. Stripe may delay, withhold, or reverse payments to prevent fraud or comply with legal obligations. We are not responsible for such actions. By using these services, you agree to comply with the Stripe Connected Account Agreement, available at https://stripe.com/connect-account/legal.

6.2 Analytics Services

GoodGrid uses PostHog, a privacy-focused analytics service, to collect and analyze data about how users interact with our Platform. This helps us improve user experience, resolve technical issues, and develop new features. By using GoodGrid, you consent to the collection and processing of your usage data by PostHog in accordance with their privacy policy, which is available at https://posthog.com/privacy. 7. Intellectual Property

The GoodGrid name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of William Roberts Coaching and Advisory Ltd or its affiliates. You may not use these marks without our prior written permission.

All content, features, and functionality of the Platform, including text, graphics, logos, icons, and images, are the exclusive property of William Roberts Coaching and Advisory Ltd or its licensors and are protected by copyright, trademark, and other intellectual property laws.

8. Limitation of Liability

To the maximum extent permitted by law, William Roberts Coaching and Advisory Ltd, its directors, employees, partners, agents, suppliers, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any unauthorized access to or use of our servers and/or any personal information stored therein

You acknowledge that GoodGrid is a platform provider and does not control or endorse the content, conduct, or outcomes of campaigns. We are not liable for any damages arising from false, misleading, or fraudulent campaigns.

9. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. William Roberts Coaching and Advisory Ltd expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Indemnification

You agree to defend, indemnify, and hold harmless William Roberts Coaching and Advisory Ltd, its directors, employees, partners, agents, suppliers, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on the Platform and updating the "Last updated" date. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.

13. Acceptable Use Policy

You may only use GoodGrid for lawful purposes. You agree not to use the Platform to:

  • Create or promote fraudulent, misleading, or deceptive campaigns
  • Solicit funds for illegal, harmful, or high-risk activities (e.g., weapons, controlled substances, hate groups)
  • Circumvent platform fees or Stripe Connect policies
  • Harvest or misuse personal data of other users
  • Engage in harassment, discrimination, or abuse

We reserve the right to suspend or remove users and campaigns that violate this policy.
